Scotland and Medicine Constitution

​

1. Name

The association shall be called Scotland & Medicine.

​

2. Objectives

The association is a non-profit making organisation whose overall aim is to:

  • Build a network of support and collaboration for professionals working with medical collections in archives, libraries and museums in Scotland

  • To promote, enhance and connect Scottish archive, library and museum medical collections.

 

3. Membership

Membership is open to representatives of any archive, library or museum holding medical collections in Scotland.

 

4. Executive Committee

The Executive Committee shall comprise one individual from each of the institutions represented within the membership. Each institution shall nominate a committee member or alternate to represent it and to vote if required. There shall be a quorum when at least one third of the number of members of the Executive Committee for the time being or three members of the Executive Committee, whichever is the greater, are present at a meeting. Every matter shall be determined by a majority of votes of the members of the Executive Committee present and voting on the question but in the case of equality of votes the Chair of the meeting shall have a second or casting vote.

 

5. Officers

The officers of Scotland & Medicine will be the Chair and the Secretary. The officers are responsible for carrying on the business of Scotland & Medicine between meetings. The Officers shall be elected by the Executive Committee for a two-year period, and may stand for re-election at the end of each term. In the absence of the Chair, the Executive Committee shall elect a substitute chair for that meeting from among those present.

 

6. Meetings

Two meetings shall take place each year with the option for additional meetings, break-out groups and sub-groups if agreed by the Executive Committee.

 

7. Funds

Funds belonging to Scotland & Medicine are held by the organisation UMiS (University Museums in Scotland) and managed by the UMiS-appointed Treasurer. The UMiS Treasurer shall be responsible to the Scotland & Medicine Executive Committee for holding, disbursing and accounting for the funds.

 

8. Disagreement

In the event of a disagreement with Scotland & Medicine which cannot be resolved internally, the Chair will approach UMiS to mediate a resolution.

 

10. Dissolution

The Executive Committee shall have the power to dissolve the organisation and to dispose of any assets to an organisation with broadly similar aims.
